General Terms and Conditions (GTC) for the NFT Presale ERC 721

1. Introduction

These General Terms and Conditions (GTC) govern the use of services and the purchase of NFT Node Licenses (WeStakeit NFTs) during the presale on the website wesendit.io, operated by WeSendit Media AG. The presale begins on June 28, 2024. By participating in the presale and purchasing a WeStakeit NFT License, you agree to these GTC.

3. Presale

3.1. During the presale, node operators can acquire the WeStakeit NFT, which is necessary for operating a node. The presale offers 12 stages, where the stake per stage serves as security and commitment to support the network. The stake will be locked for at least 52 weeks.

3.2. As a direct commitment, all future node operators will receive immediate rewards from the staking pool upon acquiring their WeStakeit NFT License. These rewards can also be claimed at the end of the 52-week lock-up period, and they will receive a temporary 8x multiplier for the provided storage space during the mainnet phase.

3.3. If a user decides not to operate a node, they can sell their NFT and the associated benefits.

4. Rewards During the Presale (WeStakeit NFT)

4.1. Holders of WeStakeit NFTs who obtained their NFTs during the presale are entitled to claim their rewards in WSI from the staking pool only after a vesting period of 52 weeks if they have used their WeStakeit NFT to activate their node.

4.2. Rewards are credited immediately after acquiring the WeStakeit NFT. However, these rewards can only be claimed after a vesting period of 52 weeks, upon successful completion of the KYC process, and the use of the WeStakeit NFT to operate a node on the mainnet. If a node is not operated from the start of the mainnet, the rewards will be forfeited entirely, and only the original stake for the used tier level will be refunded.

5. Rewards After the Presale (Node NFT License)

5.1. The minimum amount of WSI tokens required as a stake (security) for operating NEBULA, ORBIT, or COSMOS nodes depends on the type of node operated. The exact amount of the security deposit in WSI per node type will be announced two weeks before the end of the presale.

5.2. Node operators can use their WeStakeit NFT License acquired during the presale to operate a node in the mainnet. This WeStakeit NFT can later be exchanged for a Node Type NFT License, which allows the operation of one of the three node types (NEBULA, ORBIT, COSMOS).

5.3. Node operators will receive rewards in WSI for providing storage space after 90 days by activating the node license and allocating storage space when their node has been successfully onboarded to the mainnet. Early withdrawal of rewards after 30 days will incur a 75% penalty on the rewards, and the operator will lose eligibility for bonus rewards. After 90 days, the lock-up period automatically extends to 120 days with a minimum deduction of $10 in WSI.

6. KYC (Know Your Customer)

6.1. Only users who are at least 18 years old can claim rewards and must undergo a KYC process when claiming their rewards.

6.2. Users from countries sanctioned by OFAC or the UN are not eligible to participate. This includes users from Cuba, Iran, North Korea, Syria, as well as the regions of Crimea, Donetsk People's Republic, and Luhansk People's Republic.

7. Security Deposit (Stake)

7.1. The minimum amount of WSI tokens to be staked depends on the type of node operated. The specific requirements and the amount of the security deposit will be published on the website and are binding.

8. Disclaimer and Risks

8.1. WeSendit Media AG assumes no liability for losses or damages arising from the use of the information on the website or the purchase of tokens unless there is intent or gross negligence.

8.2. The purchase of WeSendit Tokens carries significant risks, and there is a possibility that you may lose the invested capital. A refund or exchange of the purchased $WSI tokens associated with the NFT Node License is excluded. There is no guarantee that the benefits associated with the purchase of WeSendit Tokens, the mainnet node launch, or the project described in the whitepaper will be realized.

8.3. The token sale and use of the platform are subject to legal and regulatory uncertainties. It is strongly recommended to seek independent legal, financial, tax, and other professional advice before participating.

9. Data Protection

9.1. Personal data will be treated confidentially and will not be disclosed to third parties without consent unless required by law.

9.2. The use of published contact details by third parties to send unsolicited advertising and information materials is not permitted.

10. Copyright and Trademark Law

10.1. All trademarks and trade names mentioned on the website, which may be protected by third parties, are subject without restriction to the provisions of the applicable trademark law and the ownership rights of the respective registered owners.

10.2. The copyright for published objects created by the author himself remains solely with the author of the pages. Duplication or use of such graphics, sound documents, video sequences, and texts in other electronic or printed publications is not permitted without the express consent of the author.

11. Final Provisions

11.1. These GTC are governed by Swiss law.

11.2. Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.

11.3. Amendments and supplements to these GTC must be made in writing.

12. Miscellaneous Provisions

12.1. Severability Clause: Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, a legally valid provision that most closely approximates the economic purpose of the invalid provision shall apply.

12.2. Communication: All notices and declarations related to these GTC must be made in writing and sent to the contact details provided in the "Provider Information" section.

12.3. Changes and Updates: WeSendit Media AG reserves the right to change these GTC at any time. Changes will be published on the website and take effect immediately unless otherwise specified. It is the user's responsibility to regularly inform themselves about the current GTC.

12.4. Jurisdiction: For all disputes arising from or in connection with these GTC, the courts in Zug, Switzerland, shall have exclusive jurisdiction.
